Houlihan Lokey Advises NC4

Houlihan Lokey is pleased to announce that NC4, Inc., has been acquired by Everbridge, Inc. (NASDAQ:EVBG). The transaction closed on August 1, 2019.

Headquartered in El Segundo, California, NC4 delivers actionable situational intelligence to help organizations mitigate threats to their global business operations, supply chains, and physical and employee assets. Delivered through a SaaS platform, NC4's unique monitoring technologies aggregate, normalize, and correlate thousands of social media, police computer-aided dispatch (CAD) and scanners, global/local news, open-source, and proprietary data to identify a comprehensive range of incidents that could significantly impact a business. These incidents include terrorism, violent crime, extreme weather, mass protests, labor strikes, power outages, water main breaks, gas leaks, earthquakes, fires, transportation disruptions, and hazardous material spills. Combining its data feed with an experienced team of over 30 intelligence analysts, NC4 delivers contextualized alerts that are correlated with real-time customer data and further geolocation tagged for accuracy and relevancy—delivering more than 300,000 incident alerts from and covering over 122,000 unique incidents around the globe. NC4 is leveraged by corporate security, business continuity, enterprise, and supply chain risk management departments at more than 300 enterprises, including over 100 of the Fortune 500 companies.

Everbridge is a global software company that provides enterprise software applications that automate and accelerate organizations' operational response to critical events in order to keep people safe and businesses running. During public safety threats, such as active shooter situations, terrorist attacks, or severe weather conditions, as well as critical business events, including IT outages, cyber-attacks, or other incidents such as product recalls or supply-chain interruptions, over 4,500 global customers rely on the company's Critical Event Management platform to quickly and reliably aggregate and assess threat data, locate people at risk and responders able to assist, automate the execution of pre-defined communication processes through the secure delivery to more than 100 different communication devices, and track progress on executing response plans. Everbridge is based in Boston and Los Angeles with additional offices in Lansing, San Francisco, Beijing, Bangalore, Kolkata, London, Munich, Oslo, Singapore, Stockholm, and Tilburg.

The acquisition creates the industry's only end-to-end threat assessment and incident communications and management platform within a single pane of glass.

Following the March 2019 sale of Avtec to Motorola, this transaction represents Houlihan Lokey’s second software transaction in 2019 within the critical event communications software market ensuring risk management, compliance, and business continuity for enterprises, state and local public safety and law enforcement agencies, and utility and transportation providers. Additional transactions Houlihan Lokey has advised include the sale of Netwrix to Updata Partners, 3VR to Identiv, and a capital raise for MEGA International by Gimv.

Houlihan Lokey served as the exclusive financial advisor to NC4.
