Houlihan Lokey is pleased to announce that Armira Beteiligungen (Armira) has agreed to sell agn Niederberghaus und Partner Gmbh (agn), a leading architecture and engineering platform in Germany, to Adagia Partners. Houlihan Lokey served as the exclusive M&A advisor to the shareholders of agn.

Founded in 1952 with headquarters in Ibbenbüren, North Rhine-Westphalia, agn is a leading architecture and engineering platform, focusing on general planning and project management mainly for the public sector and specific asset classes such as special purpose (including police and fire stations, defence, or law enforcement), social infrastructure (including education and healthcare), and energy and mobility. With more than 600 professionals located in 16 offices across Germany and a track record of over 1,000 public sector projects, agn has established itself as a trusted partner for complex building projects and revitalisation programs.

Over the past seven years, with the support of Armira, a Munich-based investment holding focused on the DACH region, agn has strengthened its position as one of the leading general planning and project management platforms through organic growth and selected M&A to expand its capabilities, capacity, and geographical coverage in Germany.

agn and its management team aim to continue that successful journey with the support of Adagia Partners to further strengthen its strategic position as a trusted partner to the public sector with Germany-wide coverage, actively participate in the consolidation of a highly fragmented market, and further develop its state-of-the art technology capabilities.

Adagia Partners is a leading European mid-market private equity firm with offices in Paris and Frankfurt. The firm invests in mid-cap companies focusing on France, Germany, Switzerland, Austria, and the Benelux region. Adagia Partners has an industry specialist approach and a long track record of backing entrepreneurs in the implementation of their growth strategies, build-up, international expansion, and tech-digital transformation.

Houlihan Lokey served as sellside advisor to Armira and its management in a deal that exemplifies the continued success of the firm’s dedicated expertise within the business services sector.
