Houlihan Lokey is pleased to announce that BREXA Holdings Inc. has agreed to sell its shares in American Engineering Corporation (AEC) to Shimizu Corporation. The transaction is subject to regulatory approvals.
BREXA Holdings is a leading human resources services company primarily focused on the manufacturing, service, and IT sectors. BREXA Holdings received an investment from Bain Capital in 2024.
AEC primarily undertakes construction work for U.S. military bases in Okinawa Prefecture. In recent years, AEC has also undertaken data-center-related cabling work for multinational companies.
Shimizu Corporation is a major general contractor. Its core businesses include construction (building and civil engineering), and it also operates in five other areas: real estate development, engineering, green energy development, building lifecycle, and frontier businesses.
Following the transaction, AEC—which has achieved significant growth as a key subsidiary of BREXA Holdings—is expected to further expand its business as part of Shimizu Corporation. For Shimizu Corporation, the transaction is expected to accelerate the diversification of its revenue streams and enhance its competitiveness.
