Houlihan Lokey Advises Egeria

Transaction: Egeria Capital Management - Cpro Gruppe

Houlihan Lokey is pleased to announce that Egeria has agreed to acquire Cpro Group (Cpro), a leading SAP consulting provider for the German middle market. The transaction is pending final approval by the antitrust authorities.

Founded in 2003 in Hamburg, Germany, Cpro provides comprehensive, sector-specific SAP consulting services focusing on SAP S/4HANA, SAP CX, and application management services. With approximately 500 employees across 13 locations, the group primarily serves larger SME customers in Germany. Cpro looks back on a long-standing and productive partnership with SAP, having been awarded the SAP Gold Partner status since 2009. Over the years, Cpro has expanded its service portfolio through three strategic acquisitions and three additional new ventures. Today, Cpro offers an extensive range of services, including SAP implementation, migration, and SAP service and maintenance support. In addition, the group has developed its own software solutions tailored to optimise logistical processes and workflows.

Egeria is an independent, pan-European investment firm founded in 1997 that specialises in investments in midsized companies. It invests in healthy businesses with an enterprise value of up to €500 million. Egeria’s private equity portfolio currently includes investments in more than 20 companies, generating total revenues of approximately €2.5 billion and employing more than 14,000 people.

With the support of Egeria, Cpro aims to sustain its growth trajectory as a full-service SAP partner and enhance its expertise in industry-specific sectors. Cpro will focus on services including SAP RISE and GROW implementations and migrations, aiming to strengthen its leading position as an SAP GROW partner in the end markets of industrial production, consumer goods, logistics, healthcare, food, and infrastructure/utilities.

Sven H. Schulze, Investment Advisory Partner at Egeria, commented, “We are truly impressed by the remarkable growth that the Cpro team has achieved since its founding.” He added, “The company has established itself as one of the leading providers in the SAP public and private cloud sectors. Egeria is excited to support the Cpro team as they continue to expand their presence in this market.”

Hartwig Röhling and Claudius Seja, Managing Directors of Cpro Industry, explained, “With Egeria, we have found an investor who understands and shares our entrepreneurial vision and long-term goals. This partnership enables us to strengthen our position as a leading SAP Cloud consulting provider, to strategically expand our expertise in key industries, and to unlock new potential—both nationally and internationally. We look forward to entering the next growth phase together.”
