Houlihan Lokey is pleased to announce it has advised Atlas Knowledge Ltd. on its sale to Mintra Group, a portfolio company of The Riverside Company. The transaction was announced and closed on November 9, 2018.

Atlas Knowledge is a leading provider of digital learning solutions to safety critical industries worldwide. For over 20 years, Atlas has served the learning and compliance needs of standards bodies, regulators, and more than 1,700 corporate customers, including six of the top 10 largest energy companies in the world. From its headquarters in Aberdeen, Atlas' management systems and portfolio of 1,000+ e-learning courses are accessed across 110+ countries, online and through its Global Partner Network of over 100 resellers and training centres.

Mintra Group is a global partner in HR management, competence, and training for companies within oil and gas, maritime, construction, and renewables. This add-on further enhances Mintra's position as a leading proprietary e-learning platform provider to oil and gas companies next to its HR solutions around competency management, crew rotation planning, and payroll. In addition to new customers and geographies, the merger with Atlas provides access to new industry verticals. The Riverside Company is a global private equity firm focused on making control and non-control investments in growing businesses valued at up to $400 million.

Houlihan Lokey served as the exclusive financial advisor to Atlas Knowledge Ltd. This transaction builds on the strong track record the team, previously operating as Quayle Munro, has built in education, training and edtech. Other recent transactions include acting for Minerva Education on its sale to Dukes Education Group, Primary Capital on the MBO of ICS Learn, and acting for Inflexion on its acquisition of Calco.*
