Transaction: Flooid Topco Limited Inflexion Glory Global Solutions

Houlihan Lokey is pleased to announce that Flooid, a portfolio company of Inflexion, has been acquired by Tokyo-listed GLORY.

Flooid, which is headquartered in the UK, is a leading provider of cloud-based unified commerce software for retailers. Driving traditional point of sale, self-checkout, mobile POS, self-order and pay kiosks, and convertible lanes from a single platform, Flooid's software handles pricing, payment, receipts, taxation, promotions, coupons, orders, deliveries, and more, regardless of store format or segment. Flooid has customers in more than 15 countries across Europe, North America, and South Africa, with major clients including John Lewis, M&S, Walgreens, and Woolworths. Under Inflexion’s ownership, Flooid underwent a significant investment into the product offering and a successful transition to a SaaS model.

GLORY is a leader in cash handling machines and systems, servicing the retail, vending machines, financial, amusement, and gaming industries in more than 100 countries. GLORY is listed on the Tokyo Stock Exchange.

The acquisition of Flooid is a significant strategic step for GLORY, enabling it to enhance its retail portfolio, expand its revenue streams into SaaS, expand its business beyond its historic focus on cash technology solutions, and strengthen its overseas business. There is also a significant sales synergy opportunity through combining the sales channels of both companies.

Houlihan Lokey served as exclusive financial advisor to Flooid and Inflexion, supporting all relevant aspects of the transaction, including marketing, structuring of a competitive process, coordination of due diligence, and negotiating key deal terms.
