Houlihan Lokey Advises Open-Co

Houlihan Lokey is pleased to announce that Open-Co S.r.l. has been acquired by Impresoft Group, one of the leading ICT groups in Italy, and a portfolio company of Clessidra Private Equity. The transaction closed on 1 June 2023.

Founded in Valpolicella, Italy, in 2005, Open-Co is a leading provider of LIMS software for the wine, chemical, and environmental sectors. It quickly made its mark on the market by leveraging innovative products and extensive sector-specific knowledge, helping analysis and quality control laboratories enter the Industry 4.0 era.

Impresoft Group, with more than 3,500 active clients and a turnover of over €110 million, is one of the major ICT groups in Italy. Acquired by Clessidra Private Equity in December 2021, it now positions itself as a player capable of offering a broad set of Business Solutions, Industry Solutions, Corporate Resilience, and Customer Engagement.

The acquisition of Open-Co is the third add-on carried out after the investment of Clessidra Private Equity in Impresoft Group and is an integral part of the M&A strategy aimed at expanding the offering of proprietary software dedicated to the industrial sector.

Houlihan Lokey served as the exclusive financial advisor to the shareholders of Open-Co and assisted the company throughout the transaction, including the preparation of marketing materials, buyer outreach, due diligence and overall process coordination, as well as transaction negotiations.
