Transaction: Houlihan Lokey Advises Orkla Health

Houlihan Lokey is pleased to announce that Orkla Health (Orkla), a subsidiary of Orkla ASA, has acquired Healthspan Group Ltd. (Healthspan). The transaction was signed and closed on 23 February 2022.

Established in 1996, Healthspan is a leading UK D2C provider of VMHS and supplements. The company has a strong portfolio of over 400 different products, most of which are sold under the Healthspan brand. It also has an efficient organisational structure and collaborates extensively with specialists where the road between identifying consumer needs and launching new products in the market is short.

The company will continue to operate under the same management and organisational structure as at present. Healthspan has 170 employees, is headquartered in Guernsey, and has proprietary distribution centres in Great Britain, Ireland, and New Zealand.

Orkla is a leading supplier of branded consumer goods and concept solutions to the consumer, out-of-home, and bakery markets in the Nordics, Baltics, and selected markets in Central Europe and India. Orkla is headquartered in Oslo and listed on the Oslo Stock Exchange. The group had a turnover of NOK 47.1 billion (EUR 4.6 billion) in 2020, and it has around 21,500 employees. Orkla is part of the Orkla Care business area. The best known brands in its portfolio are Möller’s Tran, Nutrilett, Maxim, Livol, Collett, VitaePro, and Sana-Sol.

This deal underscores Houlihan Lokey’s deep expertise in the VMHS/nutrition and D2C sectors, following the recent sales of Arcadia Consumer Healthcare to Bansk; Dikey Vitamin Group and Nuun to Nestlé Health Science; foodspring to Mars; SmartyPants Vitamins to Unilever; and Care/of to Bayer.

Houlihan Lokey served as the exclusive financial advisor to Orkla and assisted in negotiating the transaction on its behalf.
