Janney has sold its Depository & Insurance Investment Banking, Equity Research, and Institutional Equity Sales businesses to Brean Capital

Houlihan Lokey is pleased to announce that Janney Montgomery Scott LLC (Janney) has completed a transaction with affiliates of Huntington Bancshares Incorporated (Huntington), and has completed a separate transaction with Brean Capital, LLC (Brean).
Together, the two transactions support Janney’s strategic decision to concentrate its capital and resources on strengthening and expanding its wealth management business, which is its core business generating over 90% of firm revenue.
The transaction with Huntington combines Janney’s middle-market investment banking business, TM Capital, with Capstone Partners (Capstone), Huntington’s middle-market M&A advisory platform. TM Capital deepens Capstone’s capabilities with private equity clients, solidifies its position as a top-10 U.S. middle-market investment bank, and increases the number of Capstone colleagues by more than 30%.
In addition to the M&A advisory colleagues joining Capstone, colleagues from Janney’s Fixed Income, Equities, and Public Finance groups have joined Huntington Securities, Huntington’s institutional broker-dealer. Legacy Janney industry coverage and colleagues in capital markets will provide added capabilities to support existing corporate and sponsor clients, with a particular focus on REITs and infrastructure, where there is alignment with the bank’s existing capabilities.
The transaction with Brean includes the Depository & Insurance Investment Banking, Equity Research, and Institutional Equity Sales businesses from Janney. Serving a wide range of financial institution clients nationwide, the team has executed 300 capital markets and M&A transactions totaling roughly $20 billion, consistently ranking among the nation’s most active advisors in community bank M&A and capital raising. They also currently provide equity research coverage for 140+ publicly traded depository and insurance companies.
Houlihan Lokey served as financial advisor to Janney in connection with both transactions. The transaction with Huntington closed on December 31, 2025, and the transaction with Brean closed on January 30, 2026.
