Houlihan Lokey Advises The Kraft Heinz Company

Transaction: Kraft Heinz - Plasmon - Nipiol - Dieterba - Aproten - Biaglut - Newprinces Group

Houlihan Lokey is pleased to announce that The Kraft Heinz Company has agreed to sell its infant and specialty foods business in Italy to NewPrinces Group, one of the country’s leading food and beverage producers. The transaction was signed on 9 July 2025, with closing expected at the end of 2025, subject to regulatory review and approval.

The agreement will see NewPrinces purchase the infant food brands Plasmon, Nipiol, and Dieterba and specialty food brands Aproten and Biaglut. It also includes the purchase of Kraft Heinz’s production facility in Latina, which manufactures products for the baby food brands.

Plasmon is the No. 1 brand in baby food in Italy, with a leading position in all the main categories: baby biscuits, baby foods, and other products.

Located in the Lazio region of central Italy, Kraft Heinz’s Latina factory employs around 300 people who make approximately 1.8 billion biscuits per year for Italy’s Plasmon brand. The factory and its employees will continue to operate as usual under NewPrinces’ ownership after the transaction is completed.

The NewPrinces Group is a specialised food and beverage company with a global supply network, offering a wide range of branded and private label products across the U.K. and Europe. Formerly known as Newlat Food, the Group was rebranded as NewPrinces Group following its acquisition of Princes Limited in 2024. Its portfolio includes well-known brands such as Princes, Napolina, Delverde, Branston (beans), Flora, and more.

Houlihan Lokey acted as the sole financial advisor to Kraft Heinz, providing support in structuring and negotiating the transaction. Houlihan Lokey’s Capital Solutions Group conducted a lender education exercise to support the transaction.

This transaction is subject to customary approvals.
