Houlihan Lokey is pleased to announce that OMRON Corp. entered into a definitive agreement to acquire Interlogic, Inc., the parent company of OnLogic, Inc., from its founders and other shareholders at an enterprise value of $675 million. The transaction was announced on October 13, 2026.
Established in 1933 and listed on the Tokyo Stock Exchange, OMRON is a global leader in industrial automation and control technology, with expertise spanning sensing, control, motion, robotics, and safety. Through its Industrial Automation Business, OMRON aims to evolve beyond factory automation equipment to deliver digital transformation for manufacturing sites and physical AI solutions.
Founded in 2003 and headquartered in South Burlington, Vermont, OnLogic provides industrial computing platforms for automation, edge AI, and physical AI applications. The company designs and manufactures highly configurable industrial and rugged computers that support demanding applications across factory automation, robotics, off-road vehicles, defense, and other industrial markets.
The acquisition will combine OnLogic’s industrial computing platforms with OMRON’s automation and high-precision control technologies to address growing demand for data- and AI-intensive applications at the edge. The combination is expected to accelerate the development of next-generation physical AI solutions, create cross-selling opportunities, and strengthen OMRON’s presence in the Americas and Europe. OnLogic will also benefit from OMRON’s business platform in Asia and industrial automation expertise. Following the acquisition, OnLogic will continue to operate as an independent business within the OMRON Group, retaining its management team, brand, and direct sales model.
