Houlihan Lokey is pleased to announce that Noumi Ltd. (ASX:NOU) shareholders have voted to be acquired by Arrovest Pty Ltd. (Arrovest), a subsidiary of Perich Group, via a scheme of arrangement.
Noumi is a leading Australian consumer-branded beverage and nutrition group operating across dairy products, plant-based milks, and nutritional supplement segments. Noumi owns many notable brands across both retail and foodservice segments, including MILKLAB, Australia’s Own, Vital Strength UProtein, and So Natural.
Perich Group is a family office holding a diverse portfolio spanning private equity, direct property, agriculture, and manufacturing, including Leppington Pastoral Company, one of Australia’s largest privately owned dairy producers. Arrovest, a subsidiary of the Perich Group, is the largest shareholder of Noumi.
On July 21, 2026, Noumi entered into a binding scheme implementation deed with Arrovest. Following a year-long strategic review undertaken by Noumi, this transaction provided a coordinated liquidity solution to all debt and equity holders ahead of a fast-approaching mandatory cash redemption of the Noumi-issued convertible notes due in May 2027. The enterprise value of the transaction is approximately A$737 million, including the full note redemption amount. Shareholders of Noumi voted to approve the scheme of arrangement on November 5, 2026, with court approval expected on November 10, 2026.
Houlihan Lokey acted as exclusive financial advisor to Arrovest and the Perich Group in a multi-stage strategic acquisition of Noumi involving Arrovest’s acquisition of: the majority of the convertible notes issued by Noumi; all Noumi shares it did not already own by way of a scheme of arrangement; and all listed options issued by Noumi by way of a separate option scheme.
Houlihan Lokey leveraged its deep experience in Australian public markets and complex capital structures to facilitate a transaction that delivered a coordinated solution across both debt and equity stakeholders.
