Houlihan Lokey Advises Prefere Resins

Houlihan Lokey is pleased to announce that Prefere Resins GmbH (Prefere), a portfolio company of One Rock Capital Partners (One Rock), has completed a refinancing and dividend recapitalisation. Houlihan Lokey’s Debt Capital Markets team served as the exclusive financing advisor on the transaction, which closed on 16 January 2025.
Headquartered near Berlin, Germany, Prefere is a leading European manufacturer of adhesive resins used in engineered wood, insulation, coatings, and other specialty applications. Prefere is a pioneer in bio-based resins, serving as a foundation for continued market leadership. The company has displayed a resilient financial profile through macroeconomic cycles thanks to its strong customer and end-market diversification across Europe, the U.S., and Asia, as well as its strong focus on its business excellence initiatives.
One Rock is an operationally focused private equity firm investing in real-economy sector businesses across North America and Europe, including chemicals and process industries, food and beverage manufacturing and distribution, specialty manufacturing, and business and environmental services sectors. One Rock has offices in New York, London, and Los Angeles and has approximately $8 billion in cumulative capital commitments. European platform investments to date are Prefere Resins (2022), Constantia Flexibles (2024), and Europe Snacks (2024).
Houlihan Lokey’s Debt Capital Markets team served as the exclusive financing advisor on the dividend recapitalisation and refinancing of the company. The team successfully structured a transaction with both incumbent and new lenders to provide Prefere with greater flexibility to support its growth trajectory. This transaction marks the team’s second successful financing mandate with the company in 14 months.
