Transaction: Securewise - Telit - PDF Solutions

Houlihan Lokey is pleased to announce that Telit IOT Solutions Inc. (Telit) has sold secureWISE, LLC (secureWISE), the most widely used secure, remote connectivity solution in the semiconductor manufacturing equipment industry, to PDF Solutions, Inc. (NASDAQ:PDFS; PDF Solutions) for $130 million. The transaction was announced on February 19, 2025, and closed on March 7, 2025.

The secureWISE global network enables equipment manufacturers to bring up new equipment faster, providing operational support and maximizing the value derived from the equipment customers invested in. The software is currently used by more than 100 equipment vendors to connect and control their tools located in over 190 semiconductor fabs, managing the exchange of multiple petabytes of data annually.

PDF Solutions empowers semiconductor companies to maximize their manufacturing effectiveness. The PDF Solutions platform breaks down data silos to enable engineers to uncover critical relationships across manufacturing and design, resulting in better process control, product screening, and equipment operations.

Beyond enabling equipment vendors to build equipment analytics at foundries, the acquisition of secureWISE is expected to dramatically expand the capability of PDF Solutions’ secure DEX OSAT network by allowing equipment makers, fab operators, and fabless companies to collaborate and optimize chip manufacturing and testing. By acquiring secureWISE, PDF Solutions expects to extend its leadership in data, analytics, and connectivity for the semiconductor industry ecosystem by significantly expanding its manufacturing connectivity network to include most of the 300mm fabs in the world. PDF Solutions’ footprint in the outsourced semiconductor assembly and test market is expected to accelerate at the rate at which secureWISE moves into that part of the supply chain, as well.
