Houlihan Lokey Advises The ATCORE Group

Transaction: The Atcore Group -  Inflexion - Ldc - Travelsoft - Capza - Closed

Houlihan Lokey is pleased to announce that The ATCORE Group, a portfolio company of Inflexion Private Equity and LDC, has been acquired by Travelsoft, a portfolio company of CAPZA. The transaction closed on 2 July 2024.

The ATCORE Group, headquartered in the U.K., provides high-performance reservation, distribution, and e-commerce software to the global leisure travel industry. Its leading omnichannel platforms power business transformation for the global travel brands it partners with, such as TUI, easyJet holidays, DER Touristik, Center Parcs, Mark Warner, and Saga, delivering increased profitability through operational efficiencies and optimal customer experience.

Each year, The ATCORE Group’s travel platforms power over 23 million holidays and more than £20 billion in bookings for its partners. The company employs around 200 people with an unrivalled combination of industry and technical expertise.

Headquartered in France, Travelsoft is a leading travel SaaS company with over €5 billion per year of travel bookings. It operates in more than 80 countries globally and with brands such as Orchestra, Traffics, and Travel Compositor. Travelsoft’s software products simplify the process of selling travel packages for tour operators and travel agencies around the world. The business was founded by current CEO Christian Sabbagh and took on external capital from CAPZA in October 2023 to help finance a European consolidation.

As a result of the deal, Travelsoft will become one of the largest travel software companies in Europe with €100 million in revenues and c. 600 staff globally.

Houlihan Lokey served as the exclusive financial advisor to The ATCORE Group, Inflexion Private Equity, and LDC, supporting all aspects of the transaction, including marketing, structuring a competitive process, coordinating due diligence, and negotiating key deal terms.
