Vitabiotics has agreed to be acquired by Bain Capital

Houlihan Lokey is pleased to announce that Vitabiotics, the U.K.’s No.1 vitamin brand with a presence across more than 70 markets, has agreed to be acquired by Bain Capital. The transaction was signed in July 2026 and is subject to customary regulatory approvals.
Founded in 1971 and headquartered in London, Vitabiotics is a developer, manufacturer, marketer, and distributor of vitamins, nutraceuticals, and other consumer health products built on a foundation of clinical insight into nutritional science, driving success in both consumer and healthcare-provider-led markets. The company has developed a comprehensive portfolio of trusted sub-brands covering all major therapeutic areas across all life stages, including Pregnacare, Perfectil, Wellman, Wellwoman, Osteocare, and Ultra.
Vitabiotics has evolved from a pioneering British family business into one of the world’s most recognised independent nutraceutical companies with local presence and leading positions across key international markets such as India, China, and the MENA region. The business utilises an omnichannel model tailored by end market and operates seven manufacturing sites globally, complemented by select co-manufacturers. In FY25, the business generated c. £275 million in sales.
Bain Capital is one of the most active investment management firms in the private equity industry, having invested c. $80 billion in more than 400 transactions since the firm’s inception in 1984. These investments include global brands such as Stada, Emcure, IQVIA, Ameritrade, Burger King, Domino’s Pizza, and Dunkin Brands. Bain Capital has c. $225 billion in assets under management.
Houlihan Lokey acted as the exclusive financial advisor to the shareholders of Vitabiotics, advising on key aspects of the preparation, structuring, and negotiation of the transaction. This transaction underscores Houlihan Lokey’s international presence and deep expertise in the global consumer health space following the sale of Protein Works to Lactalis, the sale of Sunday Natural to CVC, Pharmavite’s acquisition of Bonafide, and the sale of Qunol to Sanofi.
Certain group entities operating in jurisdictions outside the scope of this transaction will continue to trade under the existing beneficial ownership structure and are not part of the acquisition.
