  • where provided to us in the context of our business affairs, including where onboarding clients or when in connection with providing services to our clients.  This may include, for example, data regarding an employee, other member of staff, adviser or representative of one of our clients or other party.  We may also otherwise collect Personal Information about individuals whom we believe may be of relevance to our business affairs. 

For individuals located in the United States the data controller responsible for processing your Personal Information is Houlihan Lokey, Inc., and for individuals located outside of the United States such party is either:

  • Houlihan Lokey, Inc. in relation to any Personal Information collected through the Website; and 

  • the Houlihan Lokey affiliate that is providing the services to the client n relation to which we are processing your Personal Information or which otherwise collects such data. A list of Houlihan Lokey entities can be found in Houlihan Lokey’s Terms of Use.

We reserve the right to modify, alter or otherwise update this Privacy Notice at any time. We therefore encourage you to review this Privacy Notice from time to time to stay informed of how we are using Personal Information. Through the Website

We may collect and process the following Personal Information about you when you visit the Website. Our web servers use certain technologies automatically to collect the details of your visit, including but not limited to operating system, browser type and language, internet domain and host names, IP addresses, the pages you request on the Website, the dates and times that the Website is accessed and how long you spend on each page, and the details of the website you linked from to the Website. We collect the information you voluntarily provide to us if you contact us. For example, our Website may enable you to submit requests for certain information. If you voluntarily submit information to our Website, we may record any Personal Information you provide, including but not limited to your name, title, address, phone and fax numbers, email address, and company name, type, description, and URL.

In Relation to Our Business 

When we are onboarding new clients, we are subject to certain legal and regulatory responsibilities including but not limited to those relating to financial services such as ‘know your customer’ obligations, anti-money laundering, counter-terrorist financing, anti-bribery and corruption. As a result, we are typically obliged to verify the identity of clients and individuals associated with them, and may need to make certain inquiries and obtain certain information for that purpose. 

In addition, in the context of our client business we need to collect further Personal Information as provided by our clients and, potentially, other third parties for the purposes of providing advice and related services.  Such data may include further Personal Information regarding individuals associated with our clients (in addition to those individuals whose details are needed as described in this Section 2 above) and individuals associated with businesses that we advise on or that have other business relationships with us or our clients.   

You confirm that you have the right to supply all information you supply as described in sub-paragraphs 1 and 2 above and that such information will be accurate.  In order to ensure that any Personal Information remains accurate, please notify us of any changes to the Personal Information that you have provided using the contact details provided under the heading Questions below.

By using this Website, using our services or otherwise by providing us with any Personal Information, you acknowledge that we may use and disclose such Personal Information as set out in this Privacy Notice. Please do not further browse our Website or send us any Personal Information if you do not want that information to be used or disclosed in this way.

 

Use of Personal Information, Including Marketing

In general, the Personal Information we collect from you or about you is used:

  • to provide services to clients on the basis of our contractual terms with our client (or other third party) providing such Personal Information, as well as to improve our services to our clients; 
  • to market our services and/or promote new offerings and special events, on the basis of our legitimate interest to develop our business or with your consent;
  • for our record keeping and business purposes related to our client (or other third party) who provided such Personal Information, such as billing, client set-up and other client management purposes, archives and to confirm or update information already provided; 
  • for compliance purposes, and meet our legal and regulatory obligations, such as for example to prevent money laundering and terrorist financing, or to comply with financial services rules and regulations applicable to us;  
  • where provided through the Website, to monitor, improve, and administer the Website and the information and services provided on the Website, or for our internal business purposes;
  • to fulfill requests for information, products, or services and to understand client needs and interests in relation to such matters; 
  • to communicate with you; and 
  • for other legitimate business purposes.

Subject to applicable data protection laws, and respecting your rights to object and/or opt-out as explained further below, we may also use Personal Information to send invitations, marketing materials, newsletters, announcements or other publications, whether from us or (subject to your opt-in, where necessary) other selected third parties, that we feel may be of interest to you and to organise associated events and business meetings.  This may be based on our use of your marketing and content preferences, and other information we obtain about you in order to build a profile for you, with the intent that you only receive information that you are likely to find of interest.

We may send you this information by post, email, SMS, phone, or through other means in line with the requirements under applicable data protection, e-privacy and anti-spam laws.

Security and Export of Personal Information

We have implemented appropriate technical and organizational measures to ensure a level of security appropriate to the nature of Personal Information we hold, including to protect such data from accidental loss and from unauthorized access, use, alteration, and disclosure. 

Where we have given you (or where you have chosen) a password for access to certain parts of the Website or any other IT solution we use in providing services to our clients, you are responsible for keeping this password confidential and for complying with any other security procedures that we notify you of. International Transfers of Personal Information

This Website is operated by Houlihan Lokey, Inc. in the United States and consequently when you use our Website, your Personal Information will be transferred to and accessed in the US. Houlihan Lokey, Inc. may utilise the services of third party processors to operate this Website.

Where we are processing your Personal Information in relation to our services to clients, your Personal Information will be processed by the local Houlihan Lokey affiliate providing the service to the respective client and in addition by Houlihan Lokey, Inc. (or other affiliate) providing central information technology and other support to its affiliates. We use third party processors for our central technology and systems.

Your Personal Information will also be processed by our affiliates, staff, or suppliers or by other third parties referenced in this Privacy Notice or transferred to, and/or stored at, a destination outside the country in which you are a resident or the relevant Houlihan Lokey company with which you are dealing.

Where we transfer your Personal Information to another country, we will ensure that it is protected and transferred in a manner consistent with legal requirements.

Your Rights

You have certain rights under applicable data protection laws which may include rights to request access to or update your Personal Information held by us and to object, where legitimate, to the processing of data relating to you. These rights may include:

Exercising Your Personal Data Rights

California Consumers have the following rights under the CPRA:

  • The rights to access, correct, or delete Personal Data;
  • The right to obtain a portable copy of Personal Data;
  • The right to limit the use of Sensitive Personal Data in certain circumstances; and
  • The rights to opt out of the sharing of Personal Data for behavioral advertising, sales of personal data, or certain profiling.

If you are a California Consumer, you can submit a request to exercise your personal data rights under the CPRA by visiting our online portal at https://www.requesteasy.com. To protect your privacy, we may need to authenticate your identity before we respond to your rights request. We will use commercially reasonable efforts to verify your identity for this purpose. Any information you provide to authenticate your identity will only be used to process your rights request. Please be aware that we do not accept or process rights requests through other means (e.g., via fax or social media).

After submitting your request online, you will receive a follow-up email, which may include a link you must click on in order to verify your identity. If you do not click on that link, we may be unable to complete your request due to lack of verification. It is important that you provide a valid email address in order for us to be able to process your request.

We will respond to your rights request within 45 days, though in certain cases we may inform you that we will need up to another 45 days to act on your request. If we suspect fraudulent or malicious activity on or from your account, we will delay taking action on your request until we can appropriately verify your identity and the request as authentic. Also note that each of the rights are subject to certain exceptions.

We reserve the right to decline to process, or charge a reasonable fee for, requests from a Consumer that are manifestly unfounded, excessive, or repetitive.

Limiting the Use of Sensitive Personal Data

The CPRA provides a right to limit some uses of Sensitive Personal Data. In particular, you may direct companies not to use Sensitive Personal Data except as necessary to provide goods or services you have requested.

You may submit a request to limit the use of your sensitive Personal Data by submitting a rights request as described above.

Authorized Agent Requests

The CPRA allows you to designate an authorized agent to make a rights request on your behalf. Your authorized agent may submit such a request by following the same method described above. We may require verification of your authorized agent in addition to the information for verification above for Consumers and households.

China Personal Information Protection Law (PIPL)

Information for Individuals in China

Houlihan Lokey (China) Limited and its affiliates (“We”) provide advice to corporate entities relating to corporate finance, financial restructuring, and valuations. As part of our services to our clients, we collect and use personal information about you and employees, agents, representatives, board directors, and other officials of your employer as well as about individuals associated with companies that our client is seeking our advice on (collectively we refer to all these individuals as (“you” or “your”) in compliance with Personal Information Protection Law (“PIPL”) of the People’s Republic of China. This China Privacy Notice applies to residents of the People’s Republic of China (excluding Hong Kong, Taiwan, and Macau):

1. Legal basis for collecting and processing your personal information

We collect and use personal information on the following legal bases:

  1. with the consent of the individual;

  2. necessary for the conclusion and performance of a contract to which you are a party, or

  3. necessary for the performance of statutory duties or obligations;

  4. in accordance with applicable laws and regulations, process personal information that the individual has disclosed or that has been legally disclosed within a reasonable scope; and

  5. other circumstances provided for by laws and administrative regulations.

2. How we collect and use your personal information

  1. We collect and process the following personal information about you in writing and/or electronically for the purposes of providing services to you/your company, establishing cooperation with you, entering into and performing contracts with you/your company, fulfilling our contractual obligations, fulfilling payment obligations, and providing services.

  2. For the purpose of entering into and performing contracts with you/your company, and fulfilling contractual obligations, etc., we will collect and record your personal information (including but not limited to passport details, national identity card, personal name, personal phone number, email address, address, signature, work company, and position) based on your submission, and we and/or our vendors will provide the contracted services to you.

  3. For the purpose of providing services to you, establishing cooperation, sending reports or information to you, fulfilling your needs, meeting your personalized requirements, and providing services, we will collect and record your personal information, including personal name, personal phone number, address, email address, work company, position, date of birth, Wechat ID, QQ number, gender, age group, and IP address.

  4. For the purpose of onboarding you/your company as a client as part of our “Know Your Client” procedure (including anti-money laundering investigations before contract signing), we collect and process your personal information, including personal name, personal phone number, address, email address, date of birth, Wechat ID, credit card, passport, and ID card. This may involve the collection, storage, and querying of your sensitive personal information (including: utility bills, bank statements, passport, and ID card).

  5. The processing of the above personal information (including sensitive personal information therein) is necessary for us to achieve the above purposes, and if you do not allow us to process your aforementioned personal information (including sensitive personal information therein) for the above purposes, we will not be able to achieve the above purposes. We will take strict organizational and technical measures to protect the security of your personal information and minimize the adverse impact on your personal rights and interests.

3. Data Sharing

We may share your personal information with our affiliates, subsidiaries, service providers, and partners. Service providers and business partners include the following categories of third parties: accountants, consultants, lawyers, and other professional service providers; cloud storage providers; service providers helping us with customer support; identity verification and risk solutions providers; payment processors and facilitators, service providers that assist us to enhance the safety and security of our services. We may also share your personal information with other entities for legal reasons or in the event of a claim or dispute if we believe this is required by applicable law, regulation, operating license or agreement, legal process or governmental request, or insurance policy.

4. Cross-Border Data Transfer (“CBDT”)

  1. Due to the global nature of our business, you may share personal information with one of our affiliates outside of China. It is your responsibility to ensure that you have the appropriate consents, notices, and measures required under PIPL and other applicable laws in place to enable you to do so. Where you share personal information with our legal entity in China, you agree that we may transfer your personal information (including but not limited to personal name, personal phone number, email address, address, signature, Wechat ID, work company, position, date of birth, education level, unit address, emergency contact name, emergency contact phone number, credit card, bank account, passport, ID card) outside of China by renting a dedicated line with an operator or the public internet to one of our affiliates or other third parties as mentioned in Section 3 above (hereinafter referred to as “overseas recipient”).

  2. Processing method: Authorized persons may view, approve, analyze, download, upload, and update relevant personal information from outside China.

  3. Purpose of processing: The personal information shared will be used for user analysis, client management, “know your client” and onboarding purposes, and for the purposes described above in Section 2 for Individuals in China.

  4. The overseas recipient will retain your personal information in accordance with the necessary requirements for achieving the aforementioned purposes and applicable laws and regulations, as follows:

    1. The retention period for your personal information is the shortest period necessary to realise the purpose of the personal information handling. After receiving your personal information, the overseas recipient will retain it for the shortest period necessary to realise the purpose of the personal information handling.

    2. Upon expiration of the retention period, your personal information will be deleted or anonymized.   4. If the retention period stipulated by laws and administrative regulations has not expired, or it is technically difficult to delete personal information, we will stop processing except for storage and taking necessary security protection measures.

    For your personal information processed on the basis of consent, you have the right to withdraw consent, but the withdrawal of consent does not affect the lawfulness of the personal information processing activities that have been carried out on the basis of consent before the withdrawal. We endeavor to keep your information only as required or permitted by applicable laws and our retention schedule. We will then delete or anonymize your personal information in a safe and secure manner.
